Manager of Legal Affairs
Statesville/Chicago/Montreal
The Manager, Legal Affairs provides legal support to the E2E Group including various legal related contractual documentation for customers, suppliers, contractors, consultants, and employees as well as licensing agreements, working with external counsel when necessary. Review and validate client RFPs and proposals from a legal standpoint. He/she offers general legal counsel and support to upper management with respects to business alliances, partnerships and vendors’ licensing agreements as well as with potential transactions.
Major Responsibilities / Duties:
- Review RFP and Proposals. Prepare and review Customer Contracts (including SLAs)
- Prepare, review, approve and track Confidentiality Agreements and Non-Disclosure Agreements
- Prepare, review and manage Alliances, Partnerships, Suppliers, Distribution and Licensing Agreements with Corporate Partners
- Prepare and review Employment Agreements where applicable
- Prepare and review Consulting and Contractor agreements
- Manage external legal advisors’ work
Internal / External Customers:
- Executive Team Members, Sales, Project Managers, Client Services,HR,
- Strategic Partners, Consultants, Suppliers and Vendors

Qualifications / Skills Required:
- Excellent knowledge of concepts and practices of the E2E Group business in both Canada and the United States
- Knowledge of pre-established guidelines and practices within his/her own field of expertise
- Good knowledge of both Civil Law and Common Law as well as Labor Law
- Willingness to learn and/or enhance knowledge in relevant subject areas to better support the organization
- Excellent communication skills – verbal and written
- Strong business common sense; ability to solve problems, capacity to analyze and synthesize accordingly
- Accountability, Integrity, Business minded
- Basic financial acumen
- Team player who has able to multi-task, prioritize and ensure that deadlines are met
- Excellent organizational and time management skills with a strong attention to detail
- Ability to work effectively under pressure;
- Demonstrated ability to remain flexible and work within a collaborative and team-oriented environment. Able to communicate with diverse personalities in a tactful,mature and flexible manner
- Ability to handle sensitive and confidential information appropriately while adhering to organizational policies and procedures
- Ability to work under minimal supervision
- Good knowledge of MS Office Suite
Experience:
- A minimum of three (3) years of transactional/contract drafting experience preferred
- Possess knowledge and understanding regarding commercial transactions and contracts
Education:
- Admitted to the BAR in Canada or the United States
Language:
- English – Spoken and Written required
- French – Spoken and Written preferred
